Program Overview & Guidelines

PEPENG HAPON FOOD PRODUCTS - DROPSHIPPER PROGRAM SUMMARY

1. Eligibility: Resellers must be at least 18 years of age and legally residing in the Philippines.
2. 15% Sales Commission: Resellers earn 15% commission on dispatched orders placed using their assigned reseller code/tag.
3. Self-Orders: Orders for personal consumption receive an upfront 15% discount; no duplicate commission is credited.
4. SRP Compliance: All products must strictly follow the Official Suggested Retail Price (SRP). Selling above SRP without authorization is strictly prohibited.
5. Shipping & 50/50 RTS Split: Buyer shoulders all shipping charges. Unclaimed or refused Return-To-Sender (RTS) orders incur a 50/50 expense split between Company and Reseller.
6. NDA & Data Privacy: Wholesale rates, internal systems, and digital assets remain strictly confidential for 5 years. Personal data and ID copies are processed in accordance with RA 10173.

PEPENG HAPON FOOD PRODUCTS: DROPSHIPPING RESELLER PROGRAM TERMS & CONDITIONS AGREEMENT

This Terms & Conditions Agreement ("Agreement") serves as a binding understanding between PEPENG HAPON FOOD PRODUCTS ("Company") and the undersigned Dropshipping Reseller ("Dropshipper").

I. PROGRAM REQUIREMENTS

To become an official Dropshipping Reseller, the applicant must complete and submit the Completed Application Form, Non-Disclosure Agreement (NDA), and Signed Terms & Conditions Agreement. The Company reserves the right to approve or reject any application at its sole discretion.

II. PRICING POLICY

All orders endorsed by the Dropshipper shall strictly follow the Official Suggested Retail Price (SRP) set by PEPENG HAPON FOOD PRODUCTS.
The Dropshipper is prohibited from selling above the SRP without written authorization from the Company.
Promotional campaigns initiated by the Company shall automatically supersede the standard SRP during the promotional period.

III. DISCOUNTS & COMMISSIONS

The Dropshipper shall be entitled to: a 15% Discount on all products purchased for personal consumption; or a 15% Commission on every successfully completed sale made to their customers.
Commissions shall only be credited when the order is included in the official submitted order list, or the customer provides the registered Dropshipper Code when ordering directly.
Orders without proper attribution to the Dropshipper shall not qualify for commission.
Commission rates are subject to future revisions upon prior notice from the Company.

IV. SHIPPING POLICY

All shipping and delivery charges shall be shouldered by the buyer, whether the order is for personal consumption or customer delivery.
Shipping fees are non-refundable once shipment has been processed.

V. RETURN TO SENDER (RTS) POLICY

In the event that an order becomes Return to Sender (RTS) due to customer refusal, incorrect address, unclaimed parcel, or any reason not caused by the Company: the RTS expense shall be shared equally (50/50) between the Company and the Dropshipper. The Dropshipper's share shall be deducted from their available commission.
The Company reserves the right to review exceptional cases on a case-by-case basis.

VI. COMMISSION RELEASE

All qualified commissions shall be processed and released every Friday.
Commission release may be adjusted when Friday falls on a legal holiday or due to unforeseen operational circumstances.
The Company reserves the right to withhold commission payments for orders under investigation.

VII. RESPONSIBILITIES OF THE DROPSHIPPER

The Dropshipper agrees to represent PEPENG HAPON FOOD PRODUCTS professionally, avoid misleading claims, protect company reputation, maintain confidentiality covered by the NDA, and use only official marketing materials.

VIII. ACCOUNT SUSPENSION OR TERMINATION

The Company reserves the right to suspend or permanently terminate the Dropshipper's account for SRP violations, fraudulent transactions, misrepresentation, or acts detrimental to the Company.

IX. AMENDMENTS

PEPENG HAPON FOOD PRODUCTS reserves the right to modify these terms. Continued participation constitutes acceptance of updated policies.

X. ACKNOWLEDGEMENT

By checking the agreement box on the application form, the Dropshipper certifies having carefully read and fully understood all Terms & Conditions.

PEPENG HAPON FOOD PRODUCTS: NON-DISCLOSURE AGREEMENT (NDA)

This Non-Disclosure Agreement ("Agreement") is entered into by and between PEPENG HAPON FOOD PRODUCTS ("Company") and the applicant Dropshipping Reseller ("Reseller").

1. PURPOSE

The Company may provide the Reseller with confidential business information necessary for the operation and promotion of the PEPENG HAPON FOOD PRODUCTS Dropshipping Reseller Program. This Agreement protects confidential information, trade secrets, business operations, and intellectual property.

2. CONFIDENTIAL INFORMATION

Confidential Information includes but is not limited to: wholesale and reseller pricing, supplier and manufacturer information, customer and order details, marketing strategies, internal business processes, product sourcing, financial info, inventory systems, Google Drive files, training materials, digital assets, and future product launches.

3. RESELLER OBLIGATIONS

The Reseller agrees to keep all Confidential Information strictly confidential, use it solely for operating as an authorized Dropshipping Reseller, and not copy, reproduce, publish, upload, or share Confidential Information with any third party without prior written consent.

4. NON-DISCLOSURE

The Reseller shall not disclose Confidential Information to competitors, other suppliers, food brands, unauthorized individuals, social media platforms, or public forums.

5. INTELLECTUAL PROPERTY

All marketing materials, logos, branding, product images, videos, advertisements, captions, training materials, documents, and digital files remain the exclusive property of PEPENG HAPON FOOD PRODUCTS.

6. RESTRICTIONS

The Reseller agrees NOT to: sell or transfer confidential files, copy systems for another business, create competing products using confidential information, or misrepresent themselves as an employee or owner.

7. RETURN OR DELETION OF INFORMATION

Upon termination, resignation, or removal from the Program, the Reseller agrees to permanently delete all confidential digital files, Google Drive access, marketing materials, and internal manuals.

8. TERM OF AGREEMENT

This Agreement becomes effective upon submission. Confidentiality obligations shall survive termination and remain effective for five (5) years after participation ends.

9. BREACH OF AGREEMENT

Unauthorized disclosure or misuse of Confidential Information constitutes a material breach. The Company reserves the right to immediately terminate program participation, revoke system access, and seek legal remedies.

10. NO OWNERSHIP

Nothing in this Agreement transfers ownership of any Confidential Information, trademark, copyright, or intellectual property to the Reseller.

11. GOVERNING LAW

This Agreement shall be governed by and interpreted in accordance with the laws of the Republic of the Philippines.

12. ENTIRE AGREEMENT

This Agreement constitutes the entire understanding between the Parties concerning confidentiality.
